Terms of Service

Before using J16's products, you must read and agree to their terms of service. By signing or electronically accepting any order form that references these terms, you commit to the terms outlined in the agreement. If representing a business, you must have authority to bind the business to these terms. Any online order form you submit and J16 accepts is considered an agreed contract. If this agreement is viewed as an offer, only these terms are valid for acceptance.

Modification of Terms

J16 holds the authority to alter these Terms as they deem appropriate. They'll attempt to notify users 30 days in advance for major changes, the definition of which is up to J16's discretion. Continued use of J16's services post-changes implies user acceptance. If users disagree, they should discontinue using J16's services.

Users and accounts

J16 lets both individual and business customers create accounts on its platforms to use J16 products. If an individual creates an account using an email linked to a company or organization that later (or already) has a separate agreement with J16, that individual's account might be combined into the company's account. After this merge, the individual's original agreement ends, and any future use of J16 products follows the company's agreement.

Order Forms

Once an Order Form is mutually agreed upon, it becomes part of the Agreement. As long as the Customer follows the Agreement's terms, including any specific conditions in the Order Form, J16 gives the Customer a limited, non-transferable license to use the specified J16 products or services. This access is for the set period and can be for either business or personal use, based on the terms.

Account and Access

Customers should provide accurate account details and can only have one account per individual. They are responsible for their account's security, including passwords. All account activities fall under the customer's responsibility. Business clients must work with J16 to ensure that only approved staff can access specific administrative features.

Responsibilities and Restrictions

Customer are not allowed to (and will ensure that no third party nor any of its users of the J16 Products), directly or indirectly:

Additionally, Customer agrees not to provide J16 with any information deemed sensitive or confidential unless there's a written agreement in place with J16. This includes but is not limited to:

J16 can monitor the use of its products for security and operational reasons and may change product features and functionality at any time. J16 can also suspend a customer's access at it's own discretion at any time. In addition, J16 reserves the right to delete or disable any content (including Customer Data) at any time.

J16 may offer some products for free to academic, non-profit, and educational users, termed "Education Accounts". These Free Services have usage limits, and exceeding them requires purchasing additional capacity. J16 can verify the eligibility of users for these accounts and has the right to terminate access to these services without prior notice. The Free Services come without any warranties. Customers are fully liable for any damages or breaches related to their use of these free services.

Proprietary Rights

The customer can provide feedback on J16 Products, but it's not mandatory. Even if the feedback is labeled confidential, J16 has no obligation to treat it as such. The feedback is given without any warranties. The customer grants J16 the right to use and benefit from this feedback in any way, without any restrictions or payments.

Customers retain ownership of all data they provide or upload to J16 Products ("Customer Data"). Customers grant J16 a nonexclusive, global, royalty free license to copy, use, store, modify, archive, display, and make available, according to a Customer’s sharing settings, Customer Data as necessary for J16 to deliver their services.

The customer is solely responsible for the accuracy, legality, and rights related to the Customer Data they provide. The customer assures they have the right to share this data with J16 without violating third-party rights, including intellectual property and privacy rights.

J16 retains ownership of the J16 Products, Software, any related improvements, and any technology developed for support or implementation. This includes all intellectual property rights associated with these elements.

Customers, by using J16 Products, agree to both this Agreement and J16's Privacy Policy. If the data shared includes personal data, J16 will only use it to provide its services and won't sell it or use it for other commercial purposes outside this Agreement. However, J16 can transfer an individual's account data to a business entity if required. J16 is aware of and commits to following data protection laws.

Fees

Customers will pay J16 as described in the Order Form. If they exceed the product's limits, they'll incur additional charges. J16 can modify the fees and will notify the customer 30 days in advance. If customers think they've been billed wrongly, they should contact J16's support for possible adjustments.

J16 bills customers using their provided payment method or via invoice. Invoices must be paid within 30 days of receipt. Late payments face a finance charge of up to 1.5% monthly. Non-payment after 14 days of a late notice can result in agreement termination, and data may be permanently deleted immediately.

Duration, Termination, and Continuation

This Agreement lasts for the Initial Term stated in the Order Form and can automatically renew for equal durations unless a party seeks termination 30 days before the term's end.

Either party can end the Agreement with a 30-day notice for significant breaches if the issue isn't resolved within 30 days. Immediate termination is possible under specific severe conditions like bankruptcy. Upon termination, Customers must settle all payments for services until the last active day. Key clauses, like confidentiality and payment rights, persist after the Agreement ends.

After termination, Customer Accounts are disabled, blocking access to content and files. On request, J16 might delete the Customer's data, though some backup copies might remain.

Third Party Services

Customer may opt to use J16 Products alongside certain external products ("Third Party Products"). The use of these Third Party Products is governed by separate agreements and is not covered by this Agreement with J16. J16 is not responsible for the performance, security, or any other aspect of Third Party Products, including how they manage Customer Data. If Customer integrates a Third Party Product with J16, they allow J16 to share and access data with that product. However, these Third Party Product providers are considered the data processors for the customer and not for J16. "Third Party Products" refers to external applications or services not owned by J16 but can work in conjunction with J16 Products.

Data Privacy and Security

Customers, by using J16 Products, accept the terms in this Agreement and the J16 Privacy Policy found at https://finance.j16.io/privacy.

Warranty

J16 does not guarantee that its products or any data provided will always work flawlessly, without interruptions, or be error-free. The products and data are not designed for high-risk environments such as nuclear facilities or air traffic control. All J16 products and any associated data are provided “as is,” without any warranties of any kind.

Limitation of Liability

J16 and its associates aren't liable for any indirect, incidental, or consequential damages or any data loss.

Miscellaneous

If any part of this Agreement is deemed invalid, the rest remains intact. Neither party can transfer their rights without written consent from the other, but there are exceptions, such as during a business sale. This Agreement overrules previous understandings between the parties. Neither party is liable for failures due to uncontrollable factors. Misuse of J16 Products can lead to legal actions. No partnership or employment is created by this Agreement. Any legal disputes will be settled in Helsinki, Finland. Both parties must honor the Agreement's terms, and failing to act on one breach doesn't waive rights for future breaches.
